This is a template for demonstration purposes, drafted for business-to-business sales between a French supplier (CM MODE, RCS Bobigny 829 942 960) and professional buyers.
These General Terms of Sale apply to all offers, quotations and agreements between CM MODE ("Seller") and professional buyers ("Buyer") for the wholesale supply of garments.
Orders are binding upon written order confirmation by the Seller. Minimum order quantities (MOQ) per style and colour are stated in the line sheet.
Prices are quoted in EUR and are based on EXW (Incoterms® 2020) unless otherwise agreed in writing.
Delivery terms (EXW, FCA or DAP) are confirmed per order. Lead times are indicative and run from order confirmation and receipt of advance payment.
Goods conform to the approved counter-sample. Claims for visible defects must be submitted in writing within 14 days of receipt; hidden defects within 30 days of discovery, and in any event within 6 months of delivery.
Delivered goods remain the property of the Seller until the purchase price has been paid in full.
Wholesale goods are not returnable except for valid quality claims under clause 6, or with prior written agreement of the Seller.
Designs, patterns and samples remain the intellectual property of the Seller unless a separate licence or transfer agreement applies to buyer-supplied designs (private label).
These terms are governed by French law. The Vienna Sales Convention (CISG) is excluded. Disputes are submitted to the competent courts of the Seller's registered office, unless mandatory law provides otherwise.
